1. About These Terms

These Terms of Service govern your use of the websites and WordPress plugin products operated by COGNIZENSE LLP, a Limited Liability Partnership registered in Scotland. By accessing our websites or purchasing our products, you agree to these terms. If you do not agree, do not use our services.

We may update these terms from time to time. Material changes will be communicated by email to account holders or by a notice on our website. Continued use after changes take effect constitutes acceptance.

2. Definitions

“We”, “us”, “our” — COGNIZENSE LLP
“You”, “your” — the individual or organisation accessing our website or purchasing our products
“Website” — any website owned and operated by us, including wpgator.tech
“Plugin” or “Product” — any WordPress plugin or digital product offered by us
“Licence” — a paid entitlement to a product tier, associated support, and the number of permitted active sites stated at purchase
“Licence Key” — a unique code issued to verify a valid Licence

3. Account Registration

You may be required to create an account to purchase or download plugins. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate and complete information during registration and keep it current.

We reserve the right to suspend or terminate accounts that provide false information, violate these terms, or engage in prohibited conduct.

4. Purchases and Payment

4.1 Pricing

All prices are listed in US Dollars (USD) unless otherwise stated. Prices are subject to change without notice, but changes will not affect purchases already made.

4.2 Payment Processing

Payments are processed by third-party payment processors, including Stripe, PayPal, Airwallex, or another payment method made available at checkout. By making a purchase, you agree to the applicable payment processor’s terms. We do not store your full payment card details.

4.3 Taxes

You are responsible for any applicable sales, use, or value-added taxes. Where we are required to collect sales tax, it will be added at checkout.

4.4 Downloads and Delivery

Plugins are supplied as downloadable ZIP files through your account. Unless a product page states otherwise, each purchase currently permits up to five downloads within 14 days of purchase. If you have a genuine technical problem obtaining a purchased file, contact us and we will investigate.

4.5 Refund Policy and Consumer Rights

We stand behind the quality of our plugins. Within 30 days of purchase, if a plugin does not function as described and we cannot resolve the issue, we will issue a full refund. Send refund requests by email or our contact form. Approved refunds will be processed to the original payment method within 14 days.

Nothing in this policy affects any statutory consumer rights that cannot be excluded or limited by law. Where you expressly request immediate supply of digital content and acknowledge the relevant consequence at checkout, your statutory cancellation right may end once the download begins. This does not affect your statutory rights in relation to faulty digital content.

5. Licence Terms

5.1 GPL Software and Paid Entitlements

Our plugin code is licensed under the GNU General Public License (GPL) version 2.0 or later. You may use, modify, and redistribute that code in accordance with the GPL. A paid Licence Key is a separate entitlement to the paid product tier, licence validation service, downloads made available through your account, and email support for the applicable period. It does not limit your GPL rights to the code.

5.2 Licence Tiers

Free: Available products may be used with the free features and usage limits shown on the relevant product page. An account or zero-value checkout may still be required to obtain the download.
Pro: One active production-site activation. Includes the Pro product tier and email support for the active licence period.
Agency: Where offered, up to 10 active production-site activations. Includes the applicable Agency product tier and email support for the active licence period.

Not every product offers every tier. Product pages and documentation state the features, limits, and available tiers for each product.

5.3 Licence Key Usage

Your Licence Key may be used only by you or your organisation within the number of active sites permitted by the purchased tier. An Agency Licence may be used on websites that you or your organisation manage for clients, provided the total active-site limit is not exceeded. You may not resell, publicly distribute, or share your Licence Key outside your organisation. We may revoke a key that is publicly exposed, fraudulently obtained, or used beyond the permitted active-site limit.

5.4 Activation, Expiry, Grace Period, and Renewal

A paid Licence is active for 365 days from its first successful activation on a production site, rather than from the date of purchase. A seven-day grace period follows the stated expiry date. During that period, the licence remains available while you renew or resolve an activation issue.

We do not operate an automatic recurring subscription. A new paid purchase or renewal extends the existing licence expiry by 365 days from its current expiry date. If a paid Licence is not renewed, the product reverts to the free features or expired-trial behaviour stated on its product page and in its documentation. Existing files, settings, and records are not intentionally deleted solely because a Licence expires.

6. Intellectual Property

All plugin code is released under the GPL. Our branding, website content, documentation, and trademarks remain the intellectual property of COGNIZENSE LLP. You may not use our trademarks or branding in a way that suggests endorsement without written permission.

7. Acceptable Use

You agree not to:

  • Use our website or plugins for any unlawful purpose
  • Attempt to gain unauthorised access to our systems, accounts, or data
  • Distribute your Licence Key publicly or use it beyond the permitted number of sites
  • Upload or transmit malware, viruses, or harmful code through our contact forms
  • Use automated means (bots, scrapers) to access or extract content from our website in a way that impairs the service or bypasses access controls

8. Third-Party Links

Our website may contain links to third-party websites. We do not endorse, control, or assume responsibility for the content or practices of any third-party site. You access third-party links at your own risk.

9. Limitation of Liability

9.1 Our liability to you

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable law.

9.2 Scope of liability

Subject to clause 9.1, our total liability to you for any claim arising under or in connection with these terms or the use of our products shall be limited to the amount you paid us for the specific plugin or product giving rise to the claim in the 12 months preceding the claim.

9.3 Consequential loss

We shall not be liable for any indirect, consequential, or special damages, including loss of profits, loss of business, loss of data, or loss of opportunity.

9.4 Software disclaimer

Our plugins are provided “as is” without warranty of any kind, express or implied. While we test our plugins thoroughly, we cannot guarantee compatibility with every WordPress configuration, theme, host, or third-party plugin. You are responsible for testing plugins in a staging environment before deploying to production.

10. Governing Law and Jurisdiction

These terms are governed by the laws of Scotland. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the Scottish courts. For customers outside the UK: you retain any mandatory consumer protections available under your local law that cannot be waived by agreement.

11. Termination

We may suspend or terminate your access to our website and services if you breach these terms. Upon termination, your licence to use the plugin code continues under the GPL — you retain the code. Access to account downloads, paid-tier licence validation, and email support may end. Any provisions that by their nature should survive termination will continue to apply.

12. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
